Global Contacts Inc. (“CLOUDTB” or “CLOUDTB.com” or “us” or “we” or “our”) provides its Service (as defined below) to you (“you” or “Client”) through its web site located at www.cloudtb.com (the “Site”), subject to this Terms of Service agreement (“TOS”). By accepting this TOS or by accessing or using the Service or Site, you acknowledge that you have read, understood, and agree to be bound by this TOS. If you are entering into this TOS on behalf of a company, business or other legal entity, you represent that you have the authority to bind such entity and its affiliates to this TOS, in which case the terms “you” or “your” or “Client” shall refer to such entity and its affiliates. If you do not have such authority, or if you do not agree with this TOS, you must not accept this TOS and may not use the Service. The Services We Provide
In exchange for the fees you pay in advance, we will provide you cloud storage space on one or more of our servers, so long as you abide by the terms and conditions that are set out on this page, and in any other agreements that relate to the services we may provide to you. We will provide the services according to the specifications listed for the cloud storage plan you select during the signup process. For clarity, on this page, the term "services" refers to the cloud storage services that we will provide to you. The term "CLOUDTB" or "us" or "we" refers to CLOUDTB and/or Global Contacts, Inc.
Permission to Store Your Contents
For us to store your contents, it is necessary for you to upload your data to our servers. When you do this uploading, you are creating one or more copies of your content on our system. By purchasing cloud storage services from us, you acknowledge that these copies are being made, and give us the permission (a license) to maintain these copies and make them available the Internet. You are solely responsible for uploading all of the files and other data stored on your cloud storage space.
When the Services Will be Available
We will attempt to provide the services 24 hours a day, 7 days a week for as long as you have paid for them. Sometimes, however, for a number of reasons, the services may be unavailable to you. You must recognize and acknowledge that due to the nature of servers and internet technology, occasional unavailability of the services cannot be avoided. We have not promised to provide you with uninterrupted service. Sometimes there are equipment malfunctions. At other times we undertake periodic maintenance, procedures or repairs. Still other times, there are causes beyond our control like power failures, interruption or failure of telecommunication or digital transmission links, hostile network attacks, network traffic, natural disasters and other occurrences. All services are currently covered by a Service Level Agreement, referred as the "SLA" for guaranteed protection. Our Service Level Agreement (SLA) is published on the web at CloudTB.com/sla
Free Technical Support
CLOUDTB's Free Technical Support is limited to issues that are directly related to your Cloud Storage Account. You also agree that CLOUDTB accepts no responsibility for any deficiency or inaccuracy in any of your Uploaded/Stored/Maintained data in the cloud storage service.
You further acknowledge that CLOUDTB's Technical Support does not include the maintenance of other direct or indirect issues/problems (but not limited to) such as Uploading or Downloading of files for you, troubleshooting your Corrupted/Errored files and adding new files to your cloud account in any way whatsoever. For this there will be an additional cost which is not covered within your cloud storage plan/package.
During National Holidays and during some occasional Local Holidays, our technical support will be limited. During this time, we will be still able to provide you with Basic Non-Technical Support via Ticket and Live Chat. There will be lesser staffs attending to your issues so we hope you would excuse the possible delay on our support only during that day. Backup and Recovery Policy
CLOUDTB does not offer redundant or mirrored backups. You may create your own backups outside your cloud storage space. It is your sole responsibility to ensure you have a backup of all your important data before uploading into your cloud storage space. Please ensure that you always retain offline copies of all of your uploaded files on your external storage system or on your personal computer or any other form of storage media outside of your cloud account. You further acknowledge that you only upload files that you have already backed up on your local device/offline media and CLOUDTB accepts no responsibility/liability for any data loss at any situation.
Inode Usage Issues and Best Practices
An inode is a data structure that keeps track of all the files and directories within a Linux or UNIX-based filesystem. So, every file and directory in a filesystem is allocated an inode, which is identified by an integer known as "INODE NUMBER". These unique identifiers store metadata about each file and directory. It is important to keep an eye on them to avoid issues related to data corruption, data loss, data accessibility and availability.
"EACH USER ACCOUNT" on our cloud platform is limited to "ONE MILLION" (1,000,000) Inodes. Although this is NOT a "Hard Limit", we would highly encourage our users to keep watch of their Inode usage from time-to-time.
Organizing your files, plays an important role in controlling your Inode usage. For Example: If you have 500,000 individual files the filesystem would create 500,000 Inodes. In order to reduce this Inode value you just need to compress all your 500,000 files into a SINGLE compressed ZIP / RAR / GZ file format, which would only utilize just "ONE Inode". At any time if you need assistance in compressing your uploaded files and archiving them into a single compressed file format, just submit a ticket and we would be happy to compress the files/folders directly on the cloud.
Personal Information
When you place an order for our services, your personal information, including your credit card information, is transmitted via the use of Secure Socket Layer technology, the industry standard for encrypting sensitive information. We take your privacy very seriously, and as such, will not sell your personal information to third party (other than a company that may purchase CLOUDTB), and will take reasonable steps to keep it from being disclosed to any third party. Cancellation and Refund Policy
If you need to cancel the service or require money back you need to submit a ticket within 48 hours after your cloud storage account is activated. If we receive your cancellation request after 48 hours, the cloud service cannot be cancelled and the service will continue to remain active for the entire duration until the end of the plan's billing cycle.
Renewal Policy
Our billing system is designed to automatically generate an invoice 14 days prior to the renewal date. If you do not want to renew, please be sure to inform our billing department by opening a ticket requesting to cancel at least 5 days before the expiry date. Once the invoice is paid your account will be automatically renewed for a new term. The renewal fee will become non-refundable as soon as it is charged.
If more than 7 days pass from the date on which any invoice for the cloud storage services is issued to you and we have not received payment in full, we will suspend your account, which means that your data will not be available. If in the following 30 days you pay all amounts due, bringing your account up to date, we will take your account out of suspension and the data will be available again. If, however, 30 days pass from the date on which your account is suspended and you have not made payment in full, CLOUDTB shall have the right to delete all data(s) and files(s). You hereby acknowledge that this is CLOUDTB's policy when it comes to data retention, and waive all rights in and to your data in these situations.
Multiple Currency Payment Options
All prices displayed on CLOUDTB's website are based on United States Dollars ( $ USD ). To change to your preferred currency, simply click the appropriate currency on the drop-down menu on the left-side on any page. On clicking one of the currencies, the page you are on currently will refresh with prices displayed in your new preferred currency. All prices on our website will display in your preferred currency until you change it again. Please note however that the prices shown in United States Dollars ( $ USD ) are fixed and all other currencies do not follow currency exchange rates. CLOUDTB does not use any online forex currency updates to use in its currency price calculations. You will find currency exchange price differences in our products the moment you change between currencies. All prices on our website are worked out manually for each currency price options. You may choose to buy our products and services using any of the currency options displayed in the currency drop-down menu of our website. Once an order is placed and you find currency exchange price differences, we cannot give you a partial refund of your order value based on your currency's exchange rate.
These Terms of Service May Change
Due to our evolving business, and the changing nature of the cloud storage industry, these terms of service may change. We will post the changes here, and your continued use of the service means you accept the changes we have made.
Indemnification
If CLOUDTB is sued or threatened with a lawsuit from a third party because of something you do with the services, you agree to pick up the tab if CLOUDTB is found liable or pays to settle the dispute. In legal terms, this is called “indemnification” Not only do you agree to reimburse CLOUDTB for what it pays to satisfy a judgement or settle a case, you also agree to pay CLOUDTB's reasonable attorney's fees and all other costs CLOUDTB incurs in defending itself.
Disclaimer of Warranties
You may have noticed that up to this point these terms of service have been kind of easy to read and understand. But our lawyers tell us that this section, dealing in the disclaimer of warranties, has to retain its legalese style. Sorry about that. CLOUDTB EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. CLOUDTB MAKES NO WARRANTY THAT ITS SERVICES WILL MEET YOUR REQUIREMENTS, OR THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE, OR THAT DEFECTS WILL BE CORRECTED. CLOUDTB DOES NOT WARRANT, NOR MAKE ANY REPRESENTATIONS REGARDING THE USE, OR RESULTS OF, ANY OF THE SERVICES IT PROVIDES, IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. Some jurisdictions do not allow the disclaimer of implied warranties, in which event that foregoing disclaimer may not apply to you.
Governing Law and Choice of Form
The laws of the United States will govern this Agreement, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the court located in Reno, NV, U.S.A., when these terms take effect.
This agreement becomes effective once you submit your order with us or open an account with us for cloud storage services of any kind. If you are an existing customer, and you do not agree with the terms herein, please cancel your account. Otherwise, if you sign up for or continue to use the services, you agree to what is written here.
